This End User License Agreement ("Agreement") is a legal agreement between you ("User") and STEM Seeds Academy LLC ("Company", "we", "us") governing your use of the TutorLeaf platform available at learn.stemseedsacademy.com (the "Service").

By creating an account or using the Service, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Service.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial educational purposes in accordance with this Agreement. You may use the Service to track academic progress for students under your care.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to update it as needed. You must notify us immediately of any unauthorized use of your account.

3. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law.
Attempt to gain unauthorized access to the Service or its related systems.
Upload content that is harmful, offensive, or infringes on the rights of others.
Reverse engineer, decompile, or disassemble any part of the Service.
Use the Service to collect data about other users without their consent.
Resell, sublicense, or redistribute access to the Service.

4. Student Data & Privacy

The Service processes student academic work and performance data. You represent that you have the legal authority to provide student information to the Service (e.g., as a parent or legal guardian). We handle student data in accordance with applicable privacy laws, including COPPA and FERPA where applicable. We do not sell student data to third parties. Uploaded student work is stored securely and used solely to provide the Service.

5. AI-Generated Content

The Service uses artificial intelligence to analyze uploaded student work, suggest grade levels, identify academic standards, and provide educational insights. AI-generated analysis is provided for informational purposes only and should not be considered a substitute for professional educational assessment. We do not guarantee the accuracy of AI-generated results.

6. Subscriptions & Billing

Certain features require a paid subscription. Subscription fees are billed in advance on a recurring basis. You may cancel at any time through your account billing settings; cancellation takes effect at the end of the current billing period. Refunds are provided at our sole discretion. Free trial periods, if offered, are limited to one per user.

7. Intellectual Property

The Service and its original content (excluding user-uploaded content), features, and functionality are owned by STEM Seeds Academy LLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of any content you upload to the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Termination

We may suspend or terminate your account at any time for violation of this Agreement or for any reason at our sole discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination.

11. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Agreement.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of Hillsborough County, Florida.
